Welcome to skillsup.lk, a service provided by Wisdom Global Solutions (Pvt) Ltd (Business Registration No. PV 00308248). By accessing or using our website, our online courses, LMS services, or any of our offline course and program details, you agree to comply with and be bound by the following Terms & Conditions. Please read them carefully. If you do not agree with any part of these terms, you must not use our services.
1. Acceptance of Terms
By creating an account, accessing any content, enrolling in a course (free or paid), or otherwise using skillsup.lk, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions, our Privacy Policy, and any other guidelines or policies referenced herein.
2. Definitions
- “Platform,” “Service,” “Website,” “skillsup.lk”: Refers to the skillsup.lk website and its associated online learning management system (LMS), including all content, features, and services offered by Wisdom Global Solutions (Pvt) Ltd.
- “User,” “You”: Refers to any individual accessing or using the Platform, including students and trainers.
- “Student”: Refers to a User who enrolls in or consumes courses on the Platform.
- “Trainer”: Refers to a User who creates, uploads, and promotes courses and public profiles on the Platform.
- “Course Content”: Refers to all materials uploaded by Trainers, including but not limited to videos, audio files, documents, presentations, quizzes, assignments, and text.
- “Account”: Refers to a User’s registered profile on the Platform.
3. User Accounts
3.1. Account Creation: To access certain features of the Platform, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2. Account Security: You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify skillsup.lk immediately of any unauthorized use of your Account. skillsup.lk cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.
3.3. Eligibility: You must be at least 16 years old to create an Account and use our services. If you are under 18, you may use the Platform only with the involvement and consent of a parent or legal guardian.
4. For Students
4.1. Course Access: Upon successful enrollment and payment (for paid courses), you will be granted access to the selected course content for the duration specified. Access typically refers to unlimited online streaming access unless explicitly stated otherwise (e.g., downloadable resources, limited-time access).
4.2. Payments: * All payments for paid courses are processed securely through third-party payment gateways. skillsup.lk does not store your full payment card details. * Prices are as listed on the Platform and may be subject to change. * All sales are generally final and non-refundable once a course has been accessed, except as required by applicable consumer protection laws in Sri Lanka. Any specific refund policies for individual courses will be clearly stated on the course page.
4.3. Prohibited Conduct: As a student, you agree not to: * Share, distribute, or sell Course Content or any part thereof. * Access or attempt to access courses for which you have not enrolled or paid. * Harass, abuse, or engage in any unlawful or harmful conduct towards Trainers or other Users. * Use the Platform for any illegal or unauthorized purpose.
5. For Trainers
5.1. Content Submission: As a Trainer, you agree that you are solely responsible for all Course Content you submit, post, or display on skillsup.lk. You affirm that you own or have the necessary licenses, rights, consents, and permissions to publish the Course Content.
5.2. Content Standards: Your Course Content must: * Be accurate, complete, and truthful. * Not infringe upon any third-party intellectual property rights (copyright, trademark, patent, trade secret, etc.). * Not contain any defamatory, obscene, indecent, offensive, hateful, or otherwise unlawful material. * Comply with all applicable laws and regulations in Sri Lanka and internationally.
5.3. Trainer Profile & Promotion Fees: * Trainers will be charged a fee to create, add, and promote their public profiles and courses on the skillsup.lk Platform. The specific fee structure, payment terms, and duration of promotion will be communicated separately and agreed upon by the Trainer prior to their profile or courses going live. * These fees are for the service of listing and promoting your content and profile on our platform and are generally non-refundable. * skillsup.lk reserves the right to modify the fee structure at any time, with prior notice to Trainers.
5.4. Contact Details & Social Media: * Trainers have the option to make their basic contact details (e.g., email, phone number) visible on their public profile. By choosing to make these details public, the Trainer explicitly consents to their display to Users of the Platform. * If a Trainer opts to hide their contact details, skillsup.lk will provide a message form on their profile, allowing Students to communicate with the Trainer without revealing the Trainer’s direct contact information. * Trainers may mention and link their social media pages on their public profile. By doing so, the Trainer agrees that these links are public and accessible to all Users. * skillsup.lk is not responsible for any interactions or communications that occur outside of the Platform via these direct contact details or social media links.
5.5. Trainer Warranties: You warrant that: * You have the required qualifications, credentials, and expertise to teach the courses you offer. * Your Course Content will provide an accurate and comprehensive learning experience.
5.6. Rights Granted to skillsup.lk: By uploading Course Content, you grant skillsup.lk a non-exclusive, worldwide, royalty-free, transferable right and license to: * Host, cache, store, reproduce, transmit, display, and perform your Course Content on the Platform. * Market and promote your Course Content through the Platform and other channels. * Make your Course Content available to Students for their personal, non-commercial use, in accordance with these Terms.
5.7. Removal of Content: skillsup.lk reserves the right, at its sole discretion, to remove any Course Content or Trainer profile that violates these Terms & Conditions or for any other reason deemed appropriate by the Platform, without prior notice or refund of promotion fees.
6. Intellectual Property
6.1. Platform Content: All content on skillsup.lk (excluding Course Content uploaded by Trainers), including text, graphics, logos, images, software, and the compilation thereof, is the property of Wisdom Global Solutions (Pvt) Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws.
6.2. Course Content Ownership: Trainers retain all intellectual property rights to their Course Content. However, by providing Course Content to skillsup.lk, Trainers grant the Platform the necessary licenses as outlined in Section 5.6.
6.3. Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as permitted by these Terms or with express written consent from skillsup.lk or the relevant copyright holder.
7. Disclaimers
7.1. No Warranty: skillsup.lk provides its services on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Platform or the information, content, materials, or products included on it. 7.2. Trainer Content: skillsup.lk does not endorse, guarantee, or make any representations regarding the quality, accuracy, completeness, or legality of any Course Content or the qualifications of any Trainer. Students enroll in courses and interact with Trainers at their own risk. 7.3. Service Availability: While we strive to maintain high availability, skillsup.lk does not guarantee that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. 7.4. Offline Programs: For offline courses and programs, skillsup.lk acts as a facilitator for providing information and enrollment. The terms, conditions, and quality of service for such offline programs are primarily the responsibility of the organizing entity or Trainer.
8. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Wisdom Global Solutions (Pvt) Ltd, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; and
- Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
9. Indemnification
You agree to defend, indemnify, and hold harmless Wisdom Global Solutions (Pvt) Ltd, its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:
- Your use and access of the Service, by you or any person using your Account and password;
- A breach of these Terms; or
- Content posted by you on the Service.
10. Governing Law & Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions. Any dispute, controversy or claim arising out of or relating to these Terms or the breach, termination or invalidity thereof, shall be settled by amicable negotiations. If negotiations fail, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Sri Lanka.
11. Changes to Terms & Conditions
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
